Frogster – Update on shareholder pool

Award as a strongly growing internet company

Berlin, 17.05.2010:

The leadership of the Frogster shareholder pool has informed Frogster Interactive Pictures AG, international publisher of massively multiplayer online games with headquarters in Berlin and subsidiaries in Berlin, San Francisco and Seoul, that the M&A advisory firm Corporate Finance Partners (CFP) was acknowledged about the intention of renowned anglo-saxonian finance investors to very shortly submit non-binding offers on the purchase of the block of shares holding just under 40% of Frogster’s shares. Since the end of 2009, a Frogster shareholder pool has been pursuing the intention to acquire an anchor shareholder and to sell them the share block significantly above the current stock price for a share price of 30 Euro. The price indications of the interested parties are above the actual stock price but notably below the minimum price of 30 Euro asked for by the shareholder pool.

The pool shareholders will evaluate whether to enter into more intensive negotiations or not. In the positive event, the management anticipates that the already prepared so-called due diligence will be performed soon and afterwards negotiations between potential buyer and shareholder pool on the exact terms of the transaction will take place. Should such negotiations not be taken up by the shareholder pool or run fruitlessly, the pool will disband per June 30th as planned.

Awarding of one of the strongest growing European internet companies
At the GP Bullhound Media Momentum Awards 2010 which were awarded on May 12th, Frogster reached the 20th position within the ranking of the 50 strongest growing European internet companies. In London, last Wednesday evening, the British investment and technology bank GP Bullhound presented the awards for outstanding corporate accomplishments and outstanding growth dynamic of companies in the digital economy for the sixth time. Alongside this, Andreas Weidenhaupt, member of the Frogster management board is being ranked on position nine in a newly put up ranking list of the most influential personalities within the worldwide MMO Game business by a leading American print magazine for massively multiplayer online games, Beckett Massive Online Gamer. With this, the magazine simultaneously views him as the most influential European within the segment of MMO Games in general.

Despite having left the games industry more than two years ago Christoph received a call from his former colleague and friend Dirk Weyel at the end of 2004, that a small computer games publisher with 11 staff was for sale. From 1996 to 1999 Christoph had co-built the German computer games business of Psygnosis, a Sony group company. 1999 he had co-founded CDV Software Entertainment AG took it public as MD in the CFO role in 2000 and co-managed it until end of 2001. Psygnosis and CDV were a big success during his time. So why not buy a small company and switch to the driver seat completely? Opportunities in the games hit business are large but so are the risks. Even more if you are a small challenger required to move ahead into innovative niches. Christoph bought the company beginning of 2005 together with Dirk, friends and family. Under the new name Frogster Interactive Pictures they have since focussed the company as one of the first in Europe on the growth market of virtual worlds, so called massively multiplayer online games. For the purists - Christoph was born 1967, has started his career with a "Banklehre" and holds a master degree in business admin from JW Goethe University in Frankfurt.
