Gameforge increases takeover bid to Frogster shareholders
Management considers the takeover to be friendly
Berlin, 13.09.2010:
Gameforge AG, international publisher of online games based in Karlsruhe has increased its takeover bid to the shareholders of Frogster Interactive Pictures AG from 25 Euro to 27,50 Euro. The Frogster management appreciates the increase of the offer and believes the offer to be fair considering the unstable capital market environment. According to the press release of Gameforge, the offer will now last until 4.10.2010, it can however be accepted by Frogster shareholders until 22.10.2010. On 6.09.2010 Gameforge had announced by now to be in the possession of a 60% stake. Regardless of the amount of holding, Gameforge has expressed the purpose to maintain Frogster an independent company with the existing management and team at the current locations, its own culture and its successful brands. By now, both companies have agreed on intensive cooperation in various fields which will be negotiated at arm’s length and ought to be value adding to both companies. Thus, the Frogster management considers the takeover to be friendly.
Generally the Frogster management does not give any recommendation to buy or sell the share at a particular price, not on the occasion of the takeover bid either, but feels obliged to the shareholders to make the following statements which add to the press release of 16.08.2010: The management does not expect Gameforge to further increase the tender offer and, regarding its own shares, for itself intends to accept the offer for a substantial part of its remaining shares. In this respect, the management recommends the Frogster shareholders to assess the offer carefully and benevolently again.
Update on current revenues
As expected and announced, the monthly revenue of August was around 200k EUR underneath the monthly revenue of July, according to preliminary projections. For the rest of the year 2010, the management anticipates rising monthly revenues again.

Despite having left the games industry more than two years ago Christoph received a call from his former colleague and friend Dirk Weyel at the end of 2004, that a small computer games publisher with 11 staff was for sale. From 1996 to 1999 Christoph had co-built the German computer games business of Psygnosis, a Sony group company. 1999 he had co-founded CDV Software Entertainment AG took it public as MD in the CFO role in 2000 and co-managed it until end of 2001. Psygnosis and CDV were a big success during his time. So why not buy a small company and switch to the driver seat completely? Opportunities in the games hit business are large but so are the risks. Even more if you are a small challenger required to move ahead into innovative niches. Christoph bought the company beginning of 2005 together with Dirk, friends and family. Under the new name Frogster Interactive Pictures they have since focussed the company as one of the first in Europe on the growth market of virtual worlds, so called massively multiplayer online games. For the purists - Christoph was born 1967, has started his career with a "Banklehre" and holds a master degree in business admin from JW Goethe University in Frankfurt.
